Terms & Conditions

  1. Scope and definitions

1.1 These General Terms and Conditions (GTC) apply to contracts between IoT Analytics GmbH, Zirkusweg 2, 20359 Hamburg, Germany, registered with the Local Court (Amtsgericht) of Hamburg under HRB 136991 (IoT Analytics), and its customers (Client) for the services described in Section 3, where the parties have incorporated these GTC into their contract.

1.2 IoT Analytics contracts only with entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law, and special funds under public law. IoT Analytics does not contract with consumers. The Client confirms that it enters into the contract for its business or professional activities.

1.3 The Client’s general terms, including purchasing terms referenced in a purchase order, do not apply unless IoT Analytics expressly agrees to them. Performance without reservation does not constitute such agreement. Individually negotiated agreements remain unaffected.

1.4 The following definitions apply:

  • Affiliate. An entity that controls, is controlled by, or is under common control with a party, where control means more than 50 percent of voting rights.
  • Authorized User. A named employee of an entity covered by the licence, or a named contractor working for that entity, who is authorized to access Content under Section 4. Contractors must be bound by confidentiality obligations and may use Content only for the covered entity’s business purposes.
  • Billing Period. The monthly or annual period for which a Self-Service Subscription is charged in advance.
  • Content. Reports, articles, datasets, databases, charts, forecasts, analyses, and other materials that IoT Analytics makes available under the contract, including answers and other outputs produced by Platform features.
  • Corporate Subscription. A subscription agreed in an Order Form, including a Corporate Research Subscription.
  • Deliverables. Work results that IoT Analytics creates specifically for the Client under Custom Research and Advisory or Marketing Services.
  • Order Form. A document signed by both parties, including by electronic signature, or an accepted quotation, which specifies the services, term, fees, and licence scope.
  • Platform. The online service through which IoT Analytics provides access to Content, including search, retrieval, and summary features.
  • Self-Service Subscription. A subscription that the Client books online on the IoT Analytics website and pays by card or another online payment method, with a monthly or annual Billing Period.
  • Statement of Work (SOW). A document agreed by the parties that defines the scope, timeline, Deliverables, and other project terms for Custom Research and Advisory or Marketing Services.
  • Subscription Term. The period during which the Client has access to subscribed Content, including any renewal period.
  • Text Form. Text form within the meaning of Section 126b BGB; email is sufficient.
  1. Contract formation and order of precedence

2.1 Quotations are non-binding unless they state otherwise. A contract comes into effect when both parties sign an Order Form, IoT Analytics receives the Client’s acceptance of a binding quotation within its stated validity period, or IoT Analytics accepts the Client’s order by confirmation in Text Form or by providing the ordered service. For a Self-Service Subscription, the contract comes into effect when IoT Analytics confirms the online order in Text Form after successful payment. An automated acknowledgement of receipt alone is not acceptance unless it expressly confirms the contract. Before contract formation, IoT Analytics identifies these GTC and makes them available; for Self-Service Subscriptions, the checkout also shows the price, the Billing Period, and the automatic renewal.

2.2 A purchase order number serves to assign invoices. Terms in a purchase order do not change the contract unless the parties expressly agree otherwise.

2.3 Individually negotiated agreements take precedence over standard terms. Subject to that rule, conflicting documents apply in the following order: the signed framework agreement, the SOW, the Order Form, and these GTC. The parties may expressly agree a different priority or identify a departure from a framework agreement in a later document.

  1. Services

3.1 Subscriptions. IoT Analytics provides the Content and Platform features specified in the Order Form or, for a Self-Service Subscription, in the product description shown at checkout, for the Subscription Term. Access to search and summary features does not include full source reports or datasets unless the subscription includes them.

IoT Analytics may update publications, replace report series, reorganize topics, and change Platform features to respond to technological developments, changes in the markets researched, or changes in source availability, provided the changes are reasonable in view of the Client’s interests and preserve the essential purpose of the subscribed package. It may also make changes required by law or necessary for security. Where practicable, IoT Analytics replaces discontinued Content or features with material or functionality of comparable value.

For a material reduction within these grounds, IoT Analytics gives notice in Text Form at least 45 days before the change, stating its reason, effect, and the Client’s cancellation right. Urgent legal or security changes may take effect sooner, with notice without undue delay. The Client may terminate the affected subscription with effect from the reduction by notice in Text Form within 30 days after receiving the notice, or after the reduction begins if later, and receives a pro-rata refund under Section 7.6. A change to the essential purpose of the package requires agreement or a renewal offer under Sections 6.5 and 15.1.

3.2 Single reports and datasets. IoT Analytics delivers purchased reports and datasets by download or email. Unless the Order Form states otherwise, the licence is perpetual and limited to the licence scope purchased. Updates and later editions are not included. Expiry of a separate subscription does not end this perpetual licence.

3.3 Custom Research and Advisory. The SOW specifies the services, Deliverables, timeline, and any acceptance criteria. It distinguishes obligations to provide services from obligations to produce an agreed result; the applicable legal classification follows the agreed obligations. The Client supplies the information and access reasonably needed. Scope changes and additional fees require agreement in Text Form before the additional work begins. Client-caused delays extend affected timelines to the extent reasonably necessary.

3.4 Marketing Services. The SOW or Order Form specifies the Deliverables, approval process, publication rights, and lead-sharing arrangements for webinars, white papers, sponsored content, and similar services. IoT Analytics labels sponsorship as required by law and its stated policies. Reach, attendance, and lead figures are estimates unless expressly guaranteed. The Client supplies its materials on time and holds the rights needed for their use. The parties agree responsibility for participant notices, permissions, and data sharing before collecting or transferring leads.

3.5 Independence. IoT Analytics retains editorial control of its research. A subscription, custom project, or Marketing Service does not entitle the Client to influence findings, rankings, or vendor assessments that IoT Analytics publishes. Review of a sponsored Deliverable does not entitle the Client to require false or misleading claims.

  1. Access and licence scope

4.1 Access credentials are personal. Authorized Users must not share or pool them. The Client informs IoT Analytics without undue delay of unauthorized access or when an Authorized User no longer requires access. On request in Text Form, IoT Analytics transfers a named-user seat to another eligible person. A transfer must not be used to rotate a seat between multiple active users to circumvent the agreed user limit.

4.2 The Order Form specifies the applicable licence type and any user, topic, division, location, or country limits:

Licence type

Authorized Users and scope

Single-User Licence

One named Authorized User, within the department and country designated in the Order Form, if any

Team User Licence

Up to five named Authorized Users, within the department and country designated in the Order Form, if any, unless the Order Form specifies another user limit

Work Stream Licence

One to five named Authorized Users, limited to the focus topic or work stream identified in the Order Form

Client Licence

Authorized Users of the Client only, subject to any user limit in the Order Form; Affiliates are excluded

Divisional Licence

Authorized Users within the named division of the Client and its Divisional Affiliates, subject to any user limit; Divisional Affiliates are entities controlled by the Client or its parent that operate as part of the named division

Enterprise-Wide Licence

Authorized Users of the Client and its Affiliates, subject to any user limit; the Order Form identifies the covered group and any exclusions

Community Licence

Authorized Users of the Client and the community members expressly identified in the Order Form

Site Licence

Authorized Users accessing Content only from the locations identified in the Order Form; remote or proxy access requires express inclusion

One-Time Licence

A single delivery of a report or dataset, with the user and organizational scope identified in the Order Form

4.3 A One-Time Licence describes delivery, not user scope. If no licence type is stated, including for a Self-Service Subscription, a Single-User Licence applies to the named purchaser. Department and country restrictions apply only if designated in the Order Form. Team and Enterprise mean Team User and Enterprise-Wide, respectively. Extension to acquired entities or a materially enlarged group requires agreement on scope and any fees.

4.4 Only Authorized Users may access full Content through the Platform or receive copies of full reports, datasets, or substantial extracts. An Authorized User may include limited excerpts and findings in internal presentations and decision papers for other employees of covered entities under Section 5.1. This does not grant those employees direct access to the Platform or full Content.

4.5 IoT Analytics may monitor Platform use for security and licence compliance as described in its privacy notice. On reasonable evidence of misuse, it may suspend affected access proportionately after notice in Text Form and a reasonable opportunity to respond or remedy the issue. Immediate suspension is permitted where necessary to prevent ongoing harm, with an explanation without undue delay. Access is restored promptly when the reason ends.

4.6 On reasonable request, the Client confirms its active Authorized Users and licence scope. Substantiated indications of a material licence breach that cannot be resolved through those confirmations or Platform records may be reviewed by an independent adviser bound by confidentiality. Inspection of Client records requires agreement on scope, timing, confidentiality, and costs and excludes unrelated information. These GTC do not grant unrestricted access to Client systems or records.

  1. Permitted use and restrictions

5.1 Internal use. Authorized Users may use Content for the covered entities’ internal business purposes. They may circulate limited excerpts, individual charts, and their own analyses to employees of those entities, with attribution to IoT Analytics. Each item and the cumulative material shared must not substitute for access to a report, dataset, or research library. Full Content and substantial extracts may be shared only with Authorized Users under Section 4.4. The Client may retain its own work under Section 7.5.

5.2 Cited external excerpts. The Client may use limited excerpts, such as an individual chart, figure, or short quotation, in its own customer deliverables and external presentations. Each use and the cumulative material reproduced must be insubstantial relative to the source publication or dataset, support the Client’s own analysis, and not substitute for licensed access to Content. Attribution must identify IoT Analytics, the source publication, and its date. The Client must preserve relevant qualifications and must not suggest endorsement. Full reports, substantial extracts, datasets, standalone resale, and repeated distribution that reconstructs Content are excluded. Use in press releases, advertising, investor documents, media publications, or a competing research service requires prior consent in Text Form. Broader rights may be agreed in the Order Form. Mandatory statutory quotation rights remain unaffected.

5.3 General restrictions. Unless the Order Form expressly permits it or mandatory law provides otherwise, the Client must not pass full Content or substantial parts to unauthorized persons; sell, sublicense, or otherwise commercialize Content; systematically extract Content by scraping or automated bulk download; bypass access controls; or use Content to create a competing research publication, database, product, or service. An internal business analysis does not become a competing product solely because it concerns a market covered by IoT Analytics. Approved API access or integrations are subject to their agreed scope and limits.

5.4 AI use. Authorized Users may use Content in internal AI search, retrieval, and summarization tools if access is restricted to those Authorized Users, processing remains within the licensed business purpose, and providers are contractually barred from using Content for their own training, product development, or independent purposes. The Client applies suitable confidentiality and security measures. This permission does not authorize bulk extraction, additional users, or wider distribution of inputs or outputs. Model training or fine-tuning, public or commercial evaluation datasets, and competing AI services require a separate licence. Uploads to services that may reuse Content for their own purposes are prohibited.

5.5 Copyright notices. The Client must not remove copyright notices, attribution, or source references from Content. Copies permitted under the contract must retain them.

5.6 Breaches. A material breach of this section may justify suspension under Section 4.5 or termination under Section 7.3. A minor, isolated breach does not automatically justify termination. Claims for damages remain unaffected.

  1. Fees, invoicing, and payment

6.1 Fees are stated in the Order Form or, for a Self-Service Subscription, at checkout. All fees are net amounts plus applicable value added tax. The invoice states the currency and any applicable tax treatment.

6.2 Self-Service Subscriptions. IoT Analytics charges the fee in advance at the start of each Billing Period to the payment method the Client provided at checkout, through a payment service provider. The Client authorizes these recurring charges until the subscription ends. IoT Analytics makes an invoice available for each charge. The Client keeps its payment details up to date.

6.3 Other services. IoT Analytics invoices Corporate Subscriptions annually in advance at the start of each contract year, unless the Order Form states otherwise, and single reports on order. Custom Research and Advisory and Marketing Services are invoiced as the SOW states; if it is silent, 50 percent on signature and 50 percent on delivery or, where acceptance is required, acceptance of the agreed Deliverables. Invoices are payable by bank transfer within 30 days of receipt, without deduction, unless the Order Form states otherwise.

6.4 Default. If the Client is in default, IoT Analytics may charge statutory default interest under Section 288(2) BGB and the lump sum under Section 288(5) BGB where their statutory requirements are met. If payment remains outstanding 14 days after a reminder in Text Form that warns of suspension, IoT Analytics may suspend the affected service proportionately until payment is received. If a Self-Service charge fails, IoT Analytics informs the Client and may suspend access if the Client does not settle the amount within 14 days. Suspension does not apply to amounts the Client is lawfully entitled to withhold.

6.5 Renewal pricing.

(a) Self-Service Subscriptions. IoT Analytics may change the fee for future Billing Periods, no more than once in any 12-month period. It gives notice in Text Form at least 30 days before the next monthly Billing Period or at least 60 days before the next annual Billing Period. The notice states the current and new fee, the date from which the new fee applies, and how the Client can cancel. If the Client does not cancel before that date, the new fee applies from that Billing Period; IoT Analytics points this out in the notice. The new fee never applies to a Billing Period already paid.

(b) Corporate Subscriptions. The Order Form may specify fees for future renewal periods or an agreed adjustment schedule. Otherwise, automatic renewal under Section 7.2 is at the existing fees unless the parties agree different fees. IoT Analytics may offer a renewal at different fees by notice in Text Form at least four months before the current term ends, unless the Order Form provides a different period. The offer states the new fees, service scope, renewal term, and acceptance procedure. The new fees require the Client’s express acceptance; silence does not accept them. To prevent automatic renewal at the existing fees, IoT Analytics may give ordinary notice of termination under Section 7.2 and offer a new contract for the next period. An offer alone does not terminate the existing contract. If the existing contract is terminated and no new contract is agreed, access ends when the current term ends.

(c) Introductory or special discounts end only as stated in the Order Form or at checkout.

6.6 Set-off and withholding. The Client may set off claims that are undisputed, established by final court decision, or arise from the same contractual relationship. Statutory rights to withhold payment remain unaffected.

6.7 Expenses. IoT Analytics charges travel expenses only if the parties agree them in advance in Text Form.

  1. Term, renewal, and termination

7.1 Self-Service Subscriptions. A Self-Service Subscription renews automatically for a further Billing Period of the same length. The Client may cancel at any time in its account settings or by notice in Text Form, with effect at the end of the current Billing Period. IoT Analytics may cancel with at least 30 days’ notice in Text Form, with effect at the end of a Billing Period. For annual Billing Periods, IoT Analytics sends a renewal reminder in Text Form at least 30 days before renewal, stating the renewal date, the fee, and how to cancel. Cancellation does not entitle the Client to a refund for the current Billing Period, except under Section 7.6.

7.2 Corporate Subscriptions. The initial term is stated in the Order Form or, if it is silent, is 12 months. The subscription renews automatically for further 12-month periods unless either party gives notice in Text Form at least three months before the current term ends. The Order Form may provide otherwise. IoT Analytics usually informs the Client of the upcoming renewal at least four months before the term ends; this courtesy reminder is not a condition for renewal.

7.3 Termination for good cause. Either party may terminate for good cause under applicable law. A breach normally requires an unsuccessful reasonable remedy period or warning before termination, unless the law permits immediate action. Depending on the circumstances, good cause may include material payment default continuing more than 30 days after a reminder or a material breach of Section 5 continuing after a reasonable remedy period, normally 14 days. Section 3.1 governs cancellation following a material service reduction.

7.4 Custom projects. The SOW defines cancellation terms subject to applicable law. If it is silent, statutory termination and compensation rules apply. For a work result governed by Sections 631 et seq. BGB, Client cancellation before completion follows Section 648 BGB, including deduction of saved expenses and relevant alternative earnings. Service obligations follow the statutory rules for service contracts. Third-party commitments may be charged only as permitted by those rules or expressly agreed, without double recovery.

7.5 Effect of expiry or termination. Platform access and subscription rights end with the affected subscription. Within 30 days, the Client deletes downloaded subscription reports, datasets, and substantial source extracts. It may retain its own analyses, internal presentations, and permitted external work containing limited excerpts created during the licensed term, without reconstructing or substituting for the underlying Content. Legally required copies and routine backups may be retained, protected from business use; backups are deleted or overwritten in the normal cycle. Perpetual licences for purchased reports and datasets and paid Deliverables survive, subject to their use restrictions. Unaffected Order Forms continue.

7.6 Prepaid fees. Ordinary expiry or cancellation at the end of a term or Billing Period does not entitle the Client to a refund for services properly supplied. Valid termination under Section 3.1 or Section 9, or for good cause attributable to IoT Analytics, entitles the Client to a refund of subscription fees prepaid for the period after termination, payable within 30 days. Other fee reductions, repayments, and refunds for one-time purchases and custom projects follow the applicable contract and law. Section 10 does not limit contractual refunds or fee reductions.

  1. Intellectual property

8.1 Rights in Content and the Platform remain with IoT Analytics or its licensors. The Client receives a non-exclusive, non-transferable licence within the purchased scope. Subscription rights last for the Subscription Term; purchased reports and datasets are licensed perpetually under Section 3.2 unless the Order Form states otherwise. Use by covered Affiliates and Authorized Users is not an assignment.

8.2 Deliverables. On payment, the Client receives non-exclusive, perpetual rights to use agreed Deliverables internally within the entities covered by the SOW or Order Form and externally to the extent stated there. Before payment, the Client may review them for approval or acceptance. Marketing Deliverables may be published for the agreed purpose, audience, and channels. Exclusive rights require express agreement. IoT Analytics retains its methods, tools, know-how, and pre-existing materials; the Client receives the embedded-material rights needed for permitted use. IoT Analytics may use aggregated custom-project findings only if they do not identify the Client or disclose its Confidential Information or personal data.

8.3 IoT Analytics may use the Client’s feedback to improve its services without obligation, provided it does not disclose or use the Client’s Confidential Information beyond the agreed purpose.

8.4 The Client retains rights in its materials and grants IoT Analytics the limited rights needed to perform the agreed services. Any broader use, including publicity, requires separate consent.

8.5 Third-party rights. The Client reports infringement claims without undue delay and reasonably cooperates in resolving them. IoT Analytics may obtain rights, modify affected material without materially reducing its agreed value, or replace it with equivalent material. If the infringement cannot reasonably be resolved, the Client may terminate the affected service and claim repayment for the unusable portion under applicable law and Section 7.6. Neither party may commit the other to a settlement without consent. Damages claims are subject to Section 10.

  1. Quality, availability, and defects

9.1 IoT Analytics prepares Content with professional care using its own methods and sources it reasonably considers reliable. It supplies the agreed service and Deliverables with the skill and care expected of a professional research provider.

9.2 Market sizes, forecasts, estimates, and model results are assessments based on assumptions and available evidence. Predicted outcomes are not guaranteed. Content is not investment, legal, or tax advice. The Client remains responsible for its decisions; IoT Analytics remains responsible for the agreed professional care and performance.

9.3 Availability. IoT Analytics takes reasonable measures to maintain availability and security and announces planned maintenance where reasonably possible. Uninterrupted access is not promised unless the Order Form provides otherwise. Brief, proportionate maintenance or emergency security measures that do not materially impair agreed use are not defects. Longer or repeated interruptions may give rise to fee reductions, repayment, or termination under the applicable contract and law. Responsibility for damages is assessed separately under Section 10.

9.4 Defects. The Client reports discovered defects in Text Form without undue delay and supplies information reasonably needed to investigate them. IoT Analytics remedies defects within a reasonable period by correction, replacement, or restoration of service. If a remedy fails or cannot reasonably be supplied, the Client may exercise the remedies applicable to the contract. Fee reductions that arise by law without a failed remedy attempt are not postponed. To the extent rental law applies, strict liability for initial defects under Section 536a(1), first alternative, BGB is excluded; liability based on fault, an expressly assumed guarantee, and Section 10.1 remains. Damages claims are subject to Section 10.

9.5 Statutory limitation periods apply.

  1. Liability

10.1 IoT Analytics is liable without limitation for intent and gross negligence; culpable injury to life, body, or health; fraudulent concealment of a defect; an expressly assumed guarantee within its scope; and liability that cannot lawfully be limited, including under the German Product Liability Act.

10.2 In cases of slight negligence, IoT Analytics is liable for breach of a material contractual obligation, limited to loss that was typical for the contract and foreseeable when the contract was concluded. A material contractual obligation is one whose fulfilment enables proper performance of the contract and on whose fulfilment the Client may regularly rely.

10.3 In the cases of Section 10.2, aggregate liability for each contract year of a subscription is limited to the higher of the fees paid or payable for the affected service in that year and EUR 100,000. For a one-time purchase or a custom project, aggregate liability is limited to the higher of its total fees paid or payable and EUR 100,000. For subscriptions, a contract year is each 12-month period starting on the subscription start date; claims are allocated to the year in which the breach giving rise to them first occurred. Section 10.1 remains unaffected. This cap does not limit contractual refunds, fee reductions, or performance obligations.

10.4 Otherwise, liability for slight negligence is excluded.

10.5 These limits also apply to the personal liability of IoT Analytics’ employees, representatives, and agents to the extent permitted by law. They do not affect mandatory rights of data subjects or other third parties.

  1. Confidentiality

11.1 Confidential Information is non-public information that a party marks as confidential or that a reasonable recipient would understand to be confidential by its nature or the circumstances of disclosure. It includes non-public Order Form terms and fees, the Client’s project information, and Client queries or uploads that meet this definition.

11.2 The receiving party uses Confidential Information only to perform the contract and protects it with reasonable care. It may disclose it to employees, covered Affiliates, advisers, and service providers who need it for that purpose and are subject to suitable confidentiality obligations. It remains responsible for their handling of the information as provided by applicable law.

11.3 These obligations do not apply to information that becomes public without breach, was already lawfully known to the recipient, is received lawfully from a third party without a confidentiality restriction, or is independently developed without using the Confidential Information. A recipient may make a disclosure required by law or official order, limited to what is required, and informs the other party in advance where legally permitted.

11.4 On request after termination, the receiving party returns or deletes Confidential Information, except material it may retain under the contract or law and protected routine backups under Section 7.5. Confidentiality applies during the contract and for three years afterwards; trade secrets remain protected for as long as they qualify as trade secrets.

  1. Data protection and Platform features

12.1 Both parties comply with the General Data Protection Regulation (GDPR), the German Federal Data Protection Act (BDSG), and other applicable data-protection law.

12.2 IoT Analytics processes account, business-contact, payment, and relevant usage data as an independent controller where it determines the purposes and means. Card payments are processed by a payment service provider. Its privacy information is available at https://iot-analytics.com/privacy-statement/ and through any service-specific notice. IoT Analytics provides the legally required notices; the Client reasonably assists in informing Authorized Users.

12.3 Where IoT Analytics processes personal data on the Client’s behalf, the parties conclude an Article 28 GDPR processing agreement before that processing begins. Roles for Marketing Services and lead sharing depend on the actual processing and are agreed before collection.

12.4 Search and summary features. The Platform may include search, retrieval, and summary features, including features using AI, as specified in the Order Form or product description. Generated answers and charts can contain errors, omissions, or incorrect source references. The Client should check important figures and conclusions against source publications. Sections 5, 9, and 10 apply to outputs. No particular answer or business outcome is guaranteed.

12.5 Queries and uploads. IoT Analytics processes queries and uploads as described in the applicable service-specific data notice and agreed processing terms. The notice explains purposes, retention, provider involvement, processing locations, and international-transfer safeguards. Client Confidential Information is protected under Section 11; its use for model training requires the Client’s prior express agreement. The parties complete any required processing agreement and privacy information before the relevant processing begins.

12.6 Authorized Users submit only information they are entitled to disclose for the service purpose. Sensitive personal data or third-party confidential information requires prior agreement on the necessary processing terms and safeguards. Users should avoid unnecessary personal data and confidential details in queries.

  1. Publicity

13.1 IoT Analytics may name the Client as a reference or use its name or logo only with prior consent in Text Form. Consent may be given in the Order Form and must identify the permitted use.

13.2 The Client may identify IoT Analytics as a source under Section 5. Any other use of IoT Analytics’ name or logo, particularly one suggesting endorsement, requires prior consent in Text Form. Attribution alone does not grant reproduction rights.

  1. Compliance

14.1 Both parties comply with applicable anti-corruption laws.

14.2 The Client must not make Content available in breach of applicable sanctions or export restrictions. IoT Analytics may refuse or suspend performance where sanctions law prohibits it. If lawful performance cannot reasonably be restored, statutory termination rights apply. Advance payments are treated under applicable law and Section 7.6, subject to restrictions on repayment.

  1. Final provisions

15.1 Amendments. Changes to the current contract require agreement, except for changes expressly permitted by these GTC. Corrections of typographical errors or contact details may be made without consent if they do not change rights or obligations. Publishing new GTC does not by itself change existing contracts.

15.2 Updated GTC for Self-Service Subscriptions. IoT Analytics may apply updated GTC from the next Billing Period. It sends the updated text in Text Form at least 30 days before that Billing Period starts and identifies the material changes. If the Client does not cancel before that date, the updated GTC apply from that Billing Period; IoT Analytics points this out in the notice. Changes to the essential scope of the service are not made this way.

15.3 Updated GTC for Corporate Subscriptions. IoT Analytics may propose updated GTC for the next renewal period by notice in Text Form at least four months before the current term ends, unless the Order Form provides otherwise. The proposal includes the full text and identifies material changes. The Client must expressly accept the updated GTC; silence does not accept them. IoT Analytics may prevent automatic renewal on the existing terms by giving ordinary notice under Section 7.2 and offering a new contract under the updated GTC. If neither party terminates and no amendment is agreed, the contract renews on the existing terms.

15.4 Assignment. Either party may assign contractual rights or transfer the contract only with the other party’s consent, which must not be unreasonably withheld. Section 354a of the German Commercial Code (HGB) and transfers by statutory universal succession remain unaffected. Use by Authorized Users within the agreed licence is not an assignment.

15.5 Notices. Contractual notices may be given in Text Form to the contact addresses in the Order Form, the Client’s account, or as subsequently notified by the relevant party. Statutory form requirements and the priority of individually negotiated agreements under Section 305b BGB remain applicable.

15.6 Governing law. German law applies. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply. Mandatory provisions that cannot lawfully be excluded remain applicable.

15.7 Venue. The courts of Hamburg, Germany, have exclusive jurisdiction to the extent legally permitted. For Clients with a general place of jurisdiction in Germany, this applies to merchants (Kaufleute), legal entities under public law, and special funds under public law. International and mandatory jurisdiction rules remain applicable.

15.8 Language. The English version of these GTC is binding. Translations are for convenience unless the parties expressly agree otherwise.

15.9 Severability. If a provision is invalid, the remaining provisions remain valid to the extent provided by law. The statutory rules replace an invalid provision where applicable.

Version effective date: October 10, 2026
